1. PURPOSE, STATUS AND REGULATORY POSITIONING

This Rulebook (the “Rulebook”) establishes the legally binding terms governing participation in the programme known as “Falcons of Majlis” (the “Show”), which is conceived and operated as a curated media, business exposure, and strategic dialogue platform within the United Arab Emirates (“UAE”). The Show is designed to facilitate visibility, interaction, and commercial engagement between founders, entrepreneurs, and members of the broader business and investment community to promote the businesses & Ideas; however, it is expressly clarified that the Show is not, and shall not at any time be construed as, a financial services platform, investment solicitation mechanism, lending arrangement, credit facility, or banking service of any nature whatsoever. For the avoidance of doubt, no aspect of the Show constitutes financial promotion, regulated investment activity, or advisory services under applicable UAE laws, and the Show does not provide, arrange, facilitate, or broker loans, advances, banking products, or any form of financial accommodation. All interactions, discussions, and engagements within the context of the Show are exploratory, informational, and non-binding, and any commercial or financial transaction, if pursued, shall be conducted independently, outside the framework of the Show, under separate legally binding documentation and in full compliance with applicable regulatory requirements.

2. ACCEPTANCE, CONSENT AND LEGAL ACKNOWLEDGEMENT

By electing to participate in the Show, the Founder irrevocably acknowledges and agrees to the terms and conditions in this Rulebook. They confirm these have been carefully read, fully understood, and voluntarily accepted. This includes any additional Falcons of Majlis Terms and Conditions incorporated herein. The Founder agrees to be legally bound by these terms. Their participation is undertaken freely, without relying on representations, warranties, or assurances except as expressly stated in this Rulebook. They have had a full and fair opportunity to seek independent legal advice before accepting. The Founder represents that they possess the legal capacity and authority, personally or on behalf of a corporate entity, to enter into and be bound by these terms. Participation shall constitute conclusive evidence ofacceptance and agreement.

3. ELIGIBILITY AND REPRESENTATIONS

The Founder affirms that all information provided for their application and participation is true, accurate, complete, and not materially misleading. The business they represent must be lawfully constituted, comply with all applicable laws, and be able to operate in the UAE. The Founder also confirms there are no pending or threatened criminal, regulatory, insolvency, or fraud-related proceedings that could affect their participation or the integrity of the Show. The Producers may conduct background, financial, and reputational checks, request supportingdocuments, and accept, reject, or discontinue participation at their sole discretion without explanation. The Founder agrees to cooperate fully with these processes as a condition of participation.

4. NON-FINANCIAL AND NON-BANKING NATURE OF THE SHOW

The Founder acknowledges and agrees that the Show does not provide, arrange, or facilitate banking, lending, credit, or financial services. Participation in the Show does not create any expectation of financing or commercial investment. Any statements, discussions, or negotiations during or related to the Show, including references to valuation, equity, funding, or business collaboration, are indicative only, non-binding, and do not constitute an offer, acceptance, or legally enforceable commitment. The Founder also acknowledges that the Show does not act as a financial advisor, intermediary, broker, or agent. Any subsequent commercial arrangements must be independently negotiated, documented, and executed outside the Show in compliance with applicable laws and regulations.

5. PARTICIPATION PROCESS AND CONSENT

The Founder voluntarily agrees to participate in all aspects of the Show, including application, interviews, selection, filming, recording, and broadcasting, and understands this may involve public exposure, critical evaluation, and commercial scrutiny. The Founder accepts that participation may include on-camera and off-camera interactions with judges, hosts, producers, and other participants, which may be recorded, edited, and broadcast. Participation is at the Founder’s own discretion and risk, and the Producers are not obligated to provide any specific outcome, exposure, or benefit.

6. INTELLECTUAL PROPERTY AND DISCLOSURE

The Founder retains ownership of all intellectual property rights in their business, ideas, materials, and content. However, the Founder acknowledges that any disclosure of such information during participation is voluntary and at their own risk. Unless otherwise agreed in writing, no confidentiality obligations apply to disclosed information. The Founder accepts that similar or identical ideas may be independently developed, used, or exploited by third parties, including participants, viewers, or affiliates of the Show, without liability. The Show, its Producers, and affiliates are not responsible for any alleged misuse, misappropriation, or duplication of disclosed information.

7. MEDIA RIGHTS, RECORDING AND PUBLICITY

The Founder irrevocably grants the Producers, the Show, NKN Media, and their affiliates a perpetual, worldwide, royalty-free licence to record, reproduce, edit, adapt, distribute, broadcast, and otherwise use their participation—including name, likeness, voice, image, business materials, and any provided content—across all current and future media. These rights include use for promotional, advertising, marketing, and commercial purposes, such as syndication, licensing, and digital distribution, without further consent, notification, or compensation.

8. EDITORIAL CONTROL AND PORTRAYAL

The Founder acknowledges that the Producers have sole discretion over all editorial decisions, including how content is recorded, edited, presented, and broadcast. The Founder accepts that their participation may be edited or presented in ways that are critical, unfavourable, surprising, or not aligned with their expectations, and that such portrayal may reflect creative, editorial, or commercial considerations. The Founder irrevocably waives any right to review, approve, or object to the content, and agrees not to bring any claim regarding the manner of portrayal, except in cases of proven wilful misconduct or gross negligence.

9. COMMENTARY, CRITICISM AND PUBLIC COMMUNICATION

The Founder authorises the Show, its Producers, judges, hosts, and participants to provide commentary, feedback, and criticism regarding the Founder’s business, proposal, or participation. The Founder consents to the recording, broadcasting, and public dissemination of this content. The Founder acknowledges that commentary may be candid, critical, or adverse, may be published without prior notice or approval, and agrees not to make any claim for perceived reputational impact.

10. CONFIDENTIALITY AND NON-DISCLOSURE

The Founder agrees to maintain strict confidentiality regarding all non-public aspects of the Show, including production processes, internal communications, participant information, and any other confidential or proprietary information disclosed during participation. The Founder will not disclose, publish, or communicate this information to any third party without prior written consent from the Producers. Any breach of this obligation entitles the Producers to take immediate action, including disqualification, injunctive relief, and recovery of damages.

11. INDEMNITY

The Founder agrees to indemnify, defend, and hold harmless the Producers, NKN Media, Falcons, the Show, and their affiliates, officers, employees, and representatives from all claims, losses, liabilities, damages, costs, and expenses not limited to including full legal fees, arising from the Founder’s participation, breach of this Rulebook, misrepresentation, or unlawfulconduct.

12. ASSUMPTION OF RISK AND WAIVER

The Founder acknowledges that participating in the Show carries inherent risks, such as reputational exposure, emotional stress, and public scrutiny, and voluntarily assumes these risks. The Founder waives all claims against the Producers and their affiliates for personal injury, emotional distress, reputational harm, or other consequences of participation, except where harm results from proven gross negligence.

13. CONDUCT AND MORALITY

The Founder agrees to act professionally, respectfully, and lawfully at all times during and in connection with the Show, and to comply with all applicable UAE laws and cultural norms. The Producers may remove, suspend, or disqualify any participant whose conduct they determine is inappropriate, unethical, or harmful to the Show’s reputation.

14. EXCLUSIVITY AND NON-COMPETE

The Founder agrees not to participate in, promote, or associate with any competing television, digital, or similar program before the Show is broadcast and for a reasonable period afterward, as determined by the Producers. The Founder acknowledges that this restriction is necessary to protect the Show’s commercial integrity.

15. NO CONFIDENTIALITY OF APPLICATION MATERIALS

The Founder acknowledges that all application materials, submissions, and related information provided to the Show shall be deemed non-confidential and may be used, reproduced, or disclosed by the Producers without restriction or obligation to compensate the Founder.

16. RELEASE AND LIMITATION OF LIABILITY

The Founder irrevocably releases the Producers, NKN Media, Falcons, and their affiliates from all claims, liabilities, or demands related to participation in the Show. To the extent allowed by law, liability is excluded or limited, and the Founder will not pursue any claim except as permitted by applicable law.

17. PRODUCER’S ABSOLUTE DISCRETION

The Founder acknowledges that the Producers have sole discretion over all decisions regarding selection, participation, continuation, removal, awards, and benefits, and that these decisions are final and binding.

18. WITHDRAWAL AND TERMINATION

The Founder may withdraw from participation before filming by providing written notice to the Producers. The Producers may terminate participation at any time, with or without cause, especially in cases of breach, misrepresentation, or risk to the Show.

19. GOVERNING LAW AND JURISDICTION

This Rulebook is governed by UAE law. Any disputes shall be resolved by a sole arbitrator in English under the exclusive jurisdiction of the DIAC courts.

20. ENTIRE AGREEMENT

This Rulebook constitutes the entire agreement between the parties in relation to the subject matter herein and supersedes all prior discussions, negotiations, and understandings, whether written or oral.

21. FINAL DECLARATION

By participating in the Show, the Founder confirms that they have read, understood, and agreed to this Rulebook. They also acknowledge that the Show is not a banking, lending, or financial services platform, and accept all terms, risks, and conditions voluntarily and without reservation.
